Executed: The order form signed 1 Dec 2025 is the current contract: Growth tier, 1 Dec 2025 to 30 Nov 2026, £44,000 a year for 40 users, billed annually in advance. It states that it supersedes any earlier draft.
It sits under the MSA and the data processing agreement, both signed 17 Nov 2023. The executed order forms of 17 Nov 2023 (Starter) and 18 Nov 2024 (Growth) cover terms that have ended.
Open items: The renewal proposal of 2 Oct 2026, stored as final, offers one further annual Growth term at fifty thousand pounds against the current forty-four thousand. It is a proposal, not an order form, and states no service levels.
Its internal draft of 29 Sep 2026 proposes the same figure and says it is not a quote. Neither document is signed.
Contradictions:
- The 29 Sep 2026 draft says forty-four thousand pounds was paid under the original order form. The original order form of 17 Nov 2023 was Starter at £19,500 a year; £44,000 comes from the order forms of 18 Nov 2024 and 1 Dec 2025.
- The 2 Oct 2026 proposal says any first-term discount ends at renewal, but the 1 Dec 2025 order form applies no discount.
- The 2 Oct 2026 proposal price of fifty thousand pounds differs from the £44,000 in the executed 1 Dec 2025 order form until that order form ends on 30 Nov 2026.
Commitments: Under the 1 Dec 2025 order form, BB-Demo owes 99.5% availability, P1 first response within one business hour and a nightly refresh complete by 07:00 customer local time on business days. Service credit is 10% of one month's fee, for availability only.
The 17 Nov 2023 data processing agreement commits BB-Demo to breach notification without undue delay and no transfer of customer data outside the United Kingdom without safeguards and written agreement.
Gaps: All 28 documents were read. The 1 Dec 2025 order form does not name the customer signatory and sets no connector delivery dates.
Renewal notice is left to the MSA, and the MSA read states no notice period. No executed paper covers any term after 30 Nov 2026.
