As at Fri 9 Oct 2026Growth customer under executed order forms of 9 Aug 2024 (£40k a year) and 8 Aug 2025 (£44k a year, to 22 Aug 2026). No renewal is executed. The administrator's notice of 21 Jul 2026 ended service on 22 Aug 2026, with one invoice outstanding.
Executed: four documents are executed. The MSA, the data processing agreement and the first order form are all dated 9 Aug 2024, and a second order form was signed on 8 Aug 2025.
The order form signed 8 Aug 2025 sets Growth for 40 users at £44k per year, from 23 Aug 2025 to 22 Aug 2026, billed quarterly. It says the subscription does not continue past the end date without a written renewal order.
The first order form of 9 Aug 2024 set £40k a year after a 10% first-term discount, plus a £12k implementation fee, for 23 Aug 2024 to 22 Aug 2025.
Open items: no renewal order for any term after 22 Aug 2026 is executed. The draft renewal proposal of 8 Jun 2026 and the final one of 11 Jun 2026 propose the current Growth list price but state no figure.
The notice of 21 Jul 2026 from Alistair Penrose, joint administrator at Kelland Brooke Restructuring, declines renewal and treats 22 Aug 2026 as the final day of service. It treats one outstanding invoice as a pre-administration debt, pursued only by a statement of claim.
Contradictions: three documents differ from the executed paper.
- The draft proposal of 21 Jun 2024 and the proposal of 26 Jun 2024 offer annual billing in advance. The executed order form of 9 Aug 2024 bills quarterly.
- The renewal proposal of 17 Jun 2025 offers annual billing in advance. The executed order form of 8 Aug 2025 bills quarterly.
- The draft renewal proposal of 8 Jun 2026 gives the current term as 23 Aug 2024 to 22 Aug 2026. The executed order form of 8 Aug 2025 starts that term on 23 Aug 2025.
Commitments: the order form signed 8 Aug 2025 carried 99.5% availability, a P1 first response of 1 business hour and a nightly refresh by 07:00. Its service credits cover availability only, and all of these terms ran to 22 Aug 2026.
The data processing agreement of 9 Aug 2024 still requires BG-Demo to delete or return customer data on termination or expiry.
Gaps: all 22 documents were read. The records do not show a BG-Demo reply to the notice, which invoice is outstanding or its amount, or written confirmation of connector switch-off and data arrangements.
Neither order form names the customer's signatory.
