Document roll-up

Current to 11 Oct 26

Three documents executed on 15 May 2026 (MSA, DPA, order form) set a Growth subscription of £50,000 a year plus £12,000 implementation, running 1 Jun 2026 to 31 May 2027. Both drafts are superseded. There is no automatic renewal.

Executed: the signed order form of 15 May 2026 sets the Growth subscription at £50,000 a year, billed annually in advance, plus a one-off £12,000 implementation fee, for a total contract value of £62,000. The term runs 1 Jun 2026 to 31 May 2027, with no discount on any line.

The signed MSA and the signed DPA carry the same date. The MSA states availability of 99.5% and an implementation of eight weeks covering up to eight connectors, and says the subscription renews only by written agreement of both parties.

Open items: the draft proposal v1 of 20 Mar 2026 was internal and not shared with the customer. The draft MSA v2 of 20 Apr 2026 is marked not for signature, and the executed copy signed on 15 May 2026 supersedes it.

The final proposal of 25 Mar 2026 binds no one. Its figures of £50,000 a year and £62,000 for the first term match the executed order form.

Contradictions: the order form gives P1 first response as 1 hour, while the signed MSA and the draft MSA v2 say 1 business hour. The order form takes precedence, so the clock basis should be confirmed before any SLA query.

The onboarding plan of 6 Jun 2026 and the QBR deck of 8 Oct 2026 label £50,000 as contracted annual recurring revenue. The order form words it as the annual recurring subscription, so quote the order form.

Commitments: availability 99.5%, with a credit of 10% of one month's fee for availability breaches only. Data freshness is not credited, and invoices are payable within 30 days.

The DPA commits BB-Demo to process data only on documented instructions and to notify breaches without undue delay. It also commits BB-Demo to return or delete data at the customer's choice when services end.

Gaps: none of the three executed documents names the Copperwick signatory beyond an authorised signatory. They state no renewal notice period, no renewal price and no connector go-live dates.

The QBR deck lists Jordan Pike as account owner and Hollie Grieve as its author. None of the documents shows who will lead the renewal ahead of 31 May 2027.

Size is importance: state 40%, category 20%, recency 25% (18-month half-life on the as-of date) and usage 15%. There are no view counts: usage means how many of our own analyses cite the document, saturating at 5. A draft hangs on the executed or issued document it drafts for, in the same folder. A draft with nothing executed behind it stays a small leaf on its own.

Data as of Fri 9 Oct 2026. Text marked AI was written by the brain from the records listed in its made-from link; an AI output that cannot cite its evidence is refused and the previous text kept. Where two systems disagree (for example a contract and the CRM), the key facts show both values and mark the difference.
