Executed: The renewal order form dated 31 Jul 2026 sets the current term: one Starter subscription at £22k for the year, 19 Aug 2026 to 18 Aug 2027. It notes the customer moved from an earlier rate card to the updated list price.
Earlier executed paper is the MSA, DPA and first order form, all dated 5 Aug 2024, and the renewal order form of 15 Aug 2025 at £20k for 19 Aug 2025 to 18 Aug 2026. The first order form priced Starter at £19k after a 5% discount, plus £6,000 implementation.
Open items: The draft proposal of 29 May 2024, the final proposal of 3 Jun 2024 and the draft MSA v2 of 4 Jul 2024 were all superseded by the executed paper of 5 Aug 2024. None is a live offer. The draft MSA's terms match the executed MSA as read.
Contradictions:
- Price: the 31 Jul 2026 order form says £22k and the 15 Aug 2025 order form says £20k. These are successive terms, consistent with the v2 Starter list, not a dispute.
- Connectors: the executed MSA commits all four connectors live within 28 days of start, while the 5 Aug 2024 order form states no go-live dates.
- Availability: both 2024 proposals give only the standard Starter level, while executed paper sets 99.5% uptime.
Commitments: Under the 31 Jul 2026 order form, BB-Demo owes 99.5% uptime, a P1 first response of 4 business hours and a 5% service credit for availability breaches. Billing is annual in advance on Net 30 days from invoice date.
The executed DPA of 5 Aug 2024 requires BB-Demo to process personal data only on the customer's documented instructions and to delete or return it at the customer's election on termination.
Gaps: The roll-up covers all nine documents held.
- All three executed order forms show blank customer authorisation, title and date lines, so the text does not show who signed for Linthorpe Trade Supplies.
- The executed MSA read gives a term ending 18 Aug 2025 and no renewal clause, so whether it still governs later order forms is not shown.
- No document states a renewal or notice mechanism after 18 Aug 2027.
