Executed: Four documents are executed. The signed MSA, signed DPA and first signed order form all date from 14 Nov 2023, and a second signed order form dates from 22 Nov 2024.
The 22 Nov 2024 order form is the latest executed paper. It sets a Starter subscription at £20k per year from 28 Nov 2024 to 27 Nov 2025, billed annual in advance, Net 30 days, for 15 licensed users.
The 14 Nov 2023 order form set £20k per year plus £6,000 one-off implementation, total contract value £26k. Its term ran from 28 Nov 2023 to 27 Nov 2024.
Open items: The draft proposal v1 of 4 Oct 2023 and the draft MSA v2 of 27 Oct 2023 were superseded on 14 Nov 2023. The final proposal of 9 Oct 2023 offered the same £20k and £6,000 figures as the first signed order form.
Contradictions:
- Refresh basis: the signed MSA of 14 Nov 2023 says nightly refresh by 07:00 UK local time, while both signed order forms say 07:00 customer local time.
- Term: the signed MSA runs only to 27 Nov 2024 and has no renewal clause, yet the 22 Nov 2024 order form runs to 27 Nov 2025. No document shows the MSA being extended.
- Draft MSA v2: as read, it matches the signed MSA on price and service levels.
Commitments: The 22 Nov 2024 order form commits 99.5% availability, a P1 first response within 4 business hours, nightly refresh by 07:00 and a 5% availability-only service credit. Its term ended 27 Nov 2025, so these terms bind only if a later term exists.
The signed DPA runs for the duration of the Services. The signed MSA allows either party to terminate on ninety days' written notice.
Gaps: All eight documents were read. No executed document covers any period after 27 Nov 2025, so the documents do not show whether Stainmore Haulage renewed or at what price.
The customer signatory is named only as Director on every signed document. The onboarding plan of 4 Dec 2023 does not show whether the check-in it planned took place.
