Executed: Three documents were signed on 24 Dec 2025: the Master Services Agreement, the Data Processing Agreement and the Starter order form. The order form sets a £21k subscription after a 5% discount on £22k, plus £6,000 implementation, for 7 Jan 2026 to 6 Jan 2027.
Open items: The draft Master Services Agreement v2 of 4 Dec 2025 was superseded on 24 Dec 2025 by the signed copy. The proposals of 12 Nov 2025 (stored as draft) and 17 Nov 2025 (stored as final) are not contracts.
Contradictions:
- Implementation timing: the signed MSA says the £6,000 fee is due on signature. The signed order form says it is payable upon completion.
- Renewal: the signed MSA continues on the same terms for a further year unless 30 days' written notice is given. The order form treats the 5% discount as first term only and states no renewal clause.
- Dating: the signed DPA of 24 Dec 2025 cites an MSA dated 7 Jan 2026, but the signed MSA is dated 24 Dec 2025.
- Proposals: the 12 Nov 2025 and 17 Nov 2025 proposals show implementation as Included with a total of £27k. The order form charges £6,000 for implementation.
- Draft MSA: the 4 Dec 2025 draft also has implementation due on signature, against the order form's payable upon completion.
Commitments: The order form sets 99.5% uptime, a P1 first response of 4 business hours and a refresh complete by 07:00 UK local time on business days. Service credits cover availability breaches only, at 5% of one month's fee, so a stale brain earns no credit.
The signed MSA promises up to 4 connectors live within 7 days of the start date, plus a renewal contact forty-five days before expiry. Billing is annual in advance, 30 days from invoice.
Gaps: All seven documents were read. No document names an individual customer signatory, and the onboarding plan of 13 Jan 2026 does not show whether the connectors went live on time.
The documents do not settle whether the 5% discount carries into a second year. That should be agreed in writing before the 30-day non-renewal notice window ahead of 6 Jan 2027.
