What the paper says
Document roll-up
Current to 14 Oct 26Four executed documents: MSA, DPA and Growth order form signed 22 Jan 2026 (£48k a year, 5 Feb 2026 to 4 Feb 2027), plus a 2 Jul 2026 order form adding five connectors at £5,000 a year. Billing and renewal notice wording conflict across documents.
Executed: The order form signed 22 Jan 2026 sets the Growth subscription at £48k a year after a 5% first-term discount, plus £12k implementation, for 5 Feb 2026 to 4 Feb 2027. The MSA and DPA were signed the same day.
The order form signed 2 Jul 2026 adds five connectors at £5,000 a year, billed annually, for 3 Jul 2026 to 4 Feb 2027, with a total contract value of £2,973. These are separate lines and are not added together here.
Open items: Three drafts sit in the folders: proposal v1 of 2 Dec 2025, MSA v2 of 29 Dec 2025 and expansion proposal v1 of 28 May 2026. They and the final proposals of 5 Dec 2025 and 2 Jun 2026 are superseded by the executed paper.
The draft MSA v2 listed three open points: liability wording, the connector list and the start of quarterly billing. The signed MSA read does not show how each was settled.
Contradictions: The proposal of 5 Dec 2025 says subscription fees are invoiced annually in advance, while the executed order form of 22 Jan 2026 bills quarterly. The customer may still recall the proposal wording.
The executed order form of 22 Jan 2026 says the renewal notice period sits in the MSA, but the signed MSA of the same date states no notice period or auto-renewal.
Commitments: Availability 99.5%, P1 first response of 1 business hour and a nightly refresh by 07:00 customer local time on business days. Service credit is 10% of one month's fee per month with an availability breach, and freshness is not credited.
The subscription is billed quarterly and the connector line annually, both payable in 30 days. The 5% discount applies to the first term only, so it does not carry past 4 Feb 2027.
The DPA bars training models for any other customer and requires breach notice without undue delay. It excludes data residency unless an order form adds it, and neither executed order form does.
Gaps: All 12 documents were read. No executed document names the customer signatory, and the connector order form states no go-live commitment.
The QBR of 22 Jun 2026 records no figure for time saved, so no value case is written down before the term ends.
