Document roll-up
Current to 13 Oct 26Hartside Student Living has an executed Growth order form, MSA and DPA, all signed 27 Mar 2026: £45k a year after a 10% first-term discount, 10 Apr 2026 to 9 Apr 2027. A superseded draft order form of 19 Mar 2026 shows an unreconciled £50k.
Executed: the Master Services Agreement, the Data Processing Agreement and the Growth order form were all signed on 27 Mar 2026. Lewis Kerr signed for BB-Demo. None of the three names the Hartside signatory.
Price: the executed order form sets a £45k annual recurring charge, which is a £50k unit price less 10%, plus a one-off £12k implementation. The term runs 10 Apr 2026 to 9 Apr 2027.
Open items: three drafts remain on file. They are the Proposal v1 of 21 Jan 2026, the MSA v2 of 24 Feb 2026 and the Order Form v3 of 19 Mar 2026, all superseded by the executed copies of 27 Mar 2026.
Contradictions: the Order Form v3 draft of 19 Mar 2026 gives an annual recurring figure of £50k. That matches neither its own £45k net nor the executed order form's £45k, so anyone quoting the draft would misstate the price.
The onboarding plan of 14 Apr 2026 and the QBR deck of 10 Sep 2026 both repeat £45k. That figure is consistent with the executed charge.
Commitments: the order form commits to 99.5% availability and a P1 first response of 1 business hour. A service credit of 10% of one month's fee applies per month with an availability breach, and stale data is not a breach.
The executed MSA adds a nightly refresh complete by 07:00 customer local time on business days. Billing is annual, 30 days from invoice. The implementation covers up to eight connectors with no delivery dates stated.
Renewal: the MSA says the subscription renews only by agreement, so it lapses on 9 Apr 2027 unless renewed. The 10% discount applies to the first term only, and no renewal price or notice period is stated.
Data protection: the executed DPA limits processing to Hartside's instructions. It bars sub-processors and transfers outside the United Kingdom without written authorisation, and it gives no breach notification deadline in hours or days.
Gaps: all ten documents were read. The security questionnaire of 3 Jan 2026 left certifications, penetration testing and incident notification to separate written answers, and the file does not show those answers.
