Current to 11 Oct 26Starter terms are executed: an order form, MSA and DPA, all dated 13 Feb 2026, set £22,000 a year plus £6,000 implementation for 1 Mar 2026 to 28 Feb 2027. Two earlier proposals and a draft MSA differ on renewal and response wording.
Executed: the signed order form doc_021_006, dated 13 Feb 2026, sets Company Brain Starter at £22,000 a year payable upfront, plus £6,000 implementation and up to 4 connectors. The term runs 1 Mar 2026 to 28 Feb 2027, under the signed MSA doc_021_004 and DPA doc_021_005 of the same date.
Open items: the draft Proposal v1 of 31 Dec 2025, the Proposal of 6 Jan 2026 and the draft MSA v2 of 26 Jan 2026 are superseded by the executed paper from 13 Feb 2026. In all three executed documents the customer signatory is unnamed and the signature lines are blank in the text; only Tom Ashdown is named, signing for BB-Demo.
Contradictions:
- Proposal v1 of 31 Dec 2025 holds year 2 onwards at £22,000, invoiced each January. The executed order form states no renewal price, notice period or auto-renewal.
- Proposal v1 promises a 4-hour P1 first response, whereas the executed order form says 4 business hours.
- The Proposal of 6 Jan 2026 ties renewal to 12 months from go-live, whereas the executed MSA fixes the term at 1 Mar 2026 to 28 Feb 2027.
- The executed MSA sets refresh by 07:00 customer local time, while the executed order form says 07:00 UK local time.
The executed MSA itself pairs termination at term end on 90 days' notice with a line that early termination incurs no penalty, which is ambiguous.
Commitments: Starter service levels apply under the order form: 99.5% uptime per month, P1 response in 4 business hours, nightly refresh by 07:00 on business days, and a 5% service credit for availability breaches only. The DPA keeps all personal data in the United Kingdom.
Gaps: the roll-up covers all seven documents. The onboarding plan of 2 Mar 2026, led by Laura Penhaligon, is a delivery document with no phase dates. It does not show whether go-live was achieved, and it mentions a quarterly check-in that no executed document provides for.
