Executed: Four documents are executed, all for the Starter tier. The Master Services Agreement, the Data Processing Agreement and the first order form were signed on 14 Jul 2023.
The 14 Jul 2023 order form runs 1 Aug 2023 to 31 Jul 2024 at £17,550 net after a 10% discount, plus £6,000 implementation. The 25 Jul 2024 order form runs 1 Aug 2024 to 31 Jul 2025 at £19,500 per year, annual in advance, with no discount.
Both order forms set 99.5% availability and a P1 first response of 4 business hours. Both give a credit of 5% of one month's fee for any month below 99.5%.
Open items: Three documents are not executed: the draft proposal of 9 Jun 2023, the final proposal of 14 Jun 2023 and the draft MSA v2 of 29 Jun 2023. The onboarding plan of 5 Aug 2023 is final but sets no commercial terms.
The onboarding plan header and the 14 Jul 2023 order form both label £17,550 as Annual Recurring Revenue. That figure is the first-term net subscription, and the 25 Jul 2024 order form charged £19,500.
Contradictions: Both proposals say the subscription renews annually at the same price unless either party gives 30 days' notice. The signed MSA instead makes renewal optional with 90 days' notice to cancel, and the 25 Jul 2024 order form did not keep the same price.
The draft MSA v2 of 29 Jun 2023 matches the signed MSA on price, term and service levels. It states it is subject to final approval and is superseded by the signed copy.
Commitments: The Data Processing Agreement of 14 Jul 2023 sets no term, so its obligations are the only ones shown as continuing. They cover encryption, subprocessors only with prior written consent, deletion within thirty days of termination and audit on notice.
The service levels and billing terms in the order forms ran only to 31 Jul 2025.
Gaps: No executed document covers the period after 31 Jul 2025. These documents do not show a renewal, a notice or a churn, so accounting and the CRM need checking for the position on 9 Oct 2026.
Neither order form names a customer signatory, the MSA shows only Authorised Signatory, and the Data Processing Agreement leaves the customer signatory blank. The roll-up covers all eight documents held.
