Executed: three documents dated 20 Feb 2026 are executed: the order form, the Master Services Agreement and the Data Processing Agreement. Together they are the contracted terms for Leiekant Accountants.
The executed order form sets Starter at £22k billed annually in advance plus £6,000 implementation, total order value £28k, from 6 Mar 2026 to 5 Mar 2027. The executed MSA carries the same fees and service levels.
Open items: two drafts remain on file, the Proposal v1 of 14 Jan 2026 and the MSA v2 of 4 Feb 2026. The MSA v2 matches the executed MSA on price and service levels and was superseded on 20 Feb 2026.
The proposal of 19 Jan 2026 from Matteo Ricci, stored as final, quotes the same £22k and £6,000, with renewal at £22k subject to price review. The 14 Jan 2026 draft also lists custom dashboards under Starter, which the executed order form does not mention.
Contradictions: the executed order form commits a 4-week implementation of up to 4 connectors. The onboarding plan of 14 Mar 2026, owned by Laura Penhaligon, instead sets go-live Before renewal (5 Mar 2027) and gives Phase 2 no end date.
No other conflicts appear: the drafts and the final proposal match the executed paper on price, and the draft MSA matches on service levels.
Commitments:
- Availability 99.5%, P1 first response 4 business hours, service credit of 5% of one month's fee per month of unavailability, from the order form.
- Billing annual in advance, 30 days net, with automatic renewal unless 90 days' written notice of non-renewal is given before the 5 Mar 2027 end date.
- Implementation of 4 weeks for up to 4 connectors, with the £6,000 fee payable upon execution under the MSA.
- Under the DPA, sub-processors only with Leiekant's prior written approval, and audit at reasonable intervals.
Gaps: all seven documents were read. All three executed documents show only an unnamed Authorised Signatory for the customer, so the record does not show who signed for Leiekant Accountants.
No document states a connector go-live date. No document shows whether the onboarding phases were completed.
