Current to 12 Oct 26Coorabell Logistics is on the Starter tier under an executed order form: £22k subscription plus £6,000 implementation, 13 May 2026 to 12 May 2027, auto-renewing unless 90-day notice is given. A draft MSA and a draft proposal differ from the signed paper.
Executed: the signed order form, signed MSA and signed DPA are the contract, and all seven documents were read. The order form sets the Starter tier at £22k plus a £6,000 implementation, £28k total, for 12 months from 13 May 2026, with renewal on 12 May 2027.
Service and billing: availability 99.5%, P1 first response 4 business hours, and a credit of 5% of the monthly fee per month of availability shortfall. Billing is annual in advance, Net 30 days from invoice, and the signed MSA adds a nightly refresh by 07:00 customer local time.
Open items: two drafts remain on file. The Proposal v1 of 23 Mar 2026 and the MSA v2 of 13 Apr 2026 are both superseded by the executed paper, as is the final Proposal of 26 Mar 2026, which carries the same £28k Year 1 figure.
Contradictions:
- Implementation fee timing: the draft MSA v2 of 13 Apr 2026 says payable on completion, but the signed MSA invoices on commencement.
- Go-live: the draft Proposal v1 of 23 Mar 2026 aims for go-live within eight weeks, but the order form and onboarding plan set a four-week implementation.
- Signing dates: the signed DPA is headed 29 Apr 2026, while the reads of the signed order form and MSA record signing on 13 May 2026.
Commitments: BB-Demo must give notice of renewal terms at least 90 days before expiry under the signed MSA. The order form auto-renews unless 90-day notice of non-renewal is given, so the renewal conversation must start well ahead of 12 May 2027.
Data terms: the signed DPA requires prior written authorisation for sub-processors and deletion or return of data within 30 days of termination.
Gaps: the customer signatory is unnamed on the order form, MSA and DPA, and the signature lines show blank in the text, so executed status rests on the stored record.
The onboarding plan of 16 May 2026 targets go-live at the end of week 4, but no document shows whether that happened. The order form carries no connector go-live commitment in days, and no data residency add-on for a Brisbane-based customer.
