Executed: The order form signed 8 Jun 2026 governs now. It sets Company Brain Starter at a £22,000 annual recurring fee for 1 Jul 2026 to 30 Jun 2027, annual in advance, Net 30 days, and states no discount.
Earlier executed paper: The order forms of 21 Jun 2024 and 17 Jun 2025 each set £19,500 a year for their terms, and the 21 Jun 2024 order form added a £6,000 implementation fee. The MSA and DPA were executed and dated 21 Jun 2024.
Open items: Two drafts remain on file, Proposal v1 of 15 May 2024 and MSA v2 of 5 Jun 2024. The signed MSA superseded the MSA draft on 21 Jun 2024, and the 20 May 2024 proposal is stored as final but is not a contract.
Contradictions:
- The 20 May 2024 proposal says the subscription from year 2 onwards is £19,500, but the 8 Jun 2026 order form sets £22,000.
- The 17 Jun 2025 order form's header labels its renewal period 2024–2025, the period of the 21 Jun 2024 order form, while its own term is 1 Jul 2025 to 30 Jun 2026.
- The signed MSA sets the nightly refresh by 07:00 Customer local time, while the order forms say 07:00 UK time.
Commitments:
- Under the 8 Jun 2026 order form: 99.5% availability and a P1 first response of 4 business hours.
- Under the 8 Jun 2026 order form: nightly refresh by 07:00 UK time on business days, and a 5% service credit on an availability basis only.
- Under the signed DPA: breach notification without undue delay, and deletion or return of personal data on termination.
Gaps: The signed MSA ran 1 Jul 2024 to 30 Jun 2025 with no auto-renewal, and no later MSA is on file. The records do not show whether it still governs the order forms.
No executed document names the customer signatory or sets a notice period for the term ending 30 Jun 2027. This roll-up covers all nine documents held.
