Draft proposal from Lewis Kerr dated 11 Jun 2026 to expand the Growth subscription. The expansion is £8,000 a year; the deal total is £6,225 because it is co-termed to 10 Apr 2027. Nothing is binding until an order form is executed.

What it is: a draft proposal (version 1, "Draft for discussion") to add capacity to the existing Growth subscription, which is contracted at £44k a year with 40 licensed users and runs to 10 April 2027.

Commits: nothing yet. It states "Nothing in it is binding until an order form has been executed by both parties" and that the executed order form takes precedence on price and terms. Proposed billing is in advance on 30-day terms under the existing MSA.

Unusual: two figures sit side by side. £8,000 is the annual price of the expansion; £6,225 is the total deal value because it is co-termed, and "should not be read as" an annual price.

Not settled: the expansion lines (users, connectors or both), the invoicing pattern and the customer signatory are all open points. The evidence does not show whether an order form was issued or signed.

Version1 (draft)

1. Context

Harcastle Environmental has been a BB-Demo customer since 11 April 2025. You bought the Growth tier so that account managers can see each customer's collections, missed-collection tickets, calls and invoices together, across a base of about 30,000 business customers in Yorkshire and the North East.

The current subscription is contracted at £44k a year and runs to 10 April 2027. It includes 40 licensed users.

Since the start of the year, usage has moved in the right direction:

Read the whole document (4,862 characters)
  • Active use of the brain has grown strongly compared with the previous quarter, which suggests more of your account managers are asking questions rather than reconciling systems by hand.
  • Support has been quiet and routine: four tickets in the last 30 days, none of them high priority.
  • There are no overdue invoices on the account.

This proposal sets out how we would extend the subscription to match that growth, and how it would be priced.

2. What we are proposing

An expansion of the Growth subscription, added to your existing order form rather than replacing it. Your tier, your contract and your existing service levels stay as they are.

TierGrowth
Deal typeExpansion
BasisAdded to the current subscription and co-termed to your renewal on 10 April 2027
Annual price of the expansion£8,000
Total value of this deal£6,225

To be clear about the two figures: £8,000 is the annual price of the expansion. £6,225 is the total value of this deal as it will appear on the order form, because it is co-termed to your renewal and so does not run for a full year. The deal total is not an annual price and should not be read as one.

All prices are shown excluding VAT.

3. Why now

More of your teams are using the brain, and the forty licensed users on your Growth subscription are the natural ceiling to plan around. I would rather we talk about headroom now than have people held back in a busy month.

I have not proposed anything the usage does not support. If, after we review the numbers together, the existing allowance still covers you comfortably, I will say so and we can leave this for the renewal conversation.

4. Scope

The expansion covers additional capacity on the Growth subscription. The exact lines are an open point for the review with your team (see section 7). Whatever we agree, the following applies:

  • The Growth feature set is unchanged: pages, chat and search, the dashboards builder and quarterly business reviews.
  • The brain continues to run inside your own Snowflake account.
  • The nightly refresh, availability and support response commitments for Growth are unchanged.
  • Any new connector agreed in the order form will carry a "live within N days" commitment, with the number of days stated in the order form itself.

5. Commercial terms

TermProposed
Annual price of the expansion£8,000
Total deal value£6,225
Existing contracted ARR£44k
Licensed users on the existing subscription40
Co-term end date10 April 2027
BillingIn advance, on 30-day terms
Governing agreementYour existing MSA, via a new order form

At your renewal on 10 April 2027, the expansion would roll into the main subscription and be renewed with it. Marcus Bell will own the renewal conversation and the 90-day notice ahead of that date.

6. Delivery and next steps

  1. Review the usage together. A short call between you, Marcus and me to look at who is using the brain and where the limits are.
  2. Confirm the lines. Agree exactly what the expansion should include.
  3. Issue the order form. I will send a clean order form over today once the lines are agreed, for signature under the existing MSA.
  4. Activate. Once signed, the added capacity is switched on and Marcus will fold it into your next quarterly review.

7. Open points in this draft

  • The specific expansion lines (users, connectors or both) are to be confirmed with Harcastle Environmental before the order form is produced.
  • Whether you would like the expansion invoiced annually in advance, or on your current billing pattern.
  • Who at Harcastle Environmental will sign the order form.

This is version 1 and a draft. Nothing in it is binding until an order form has been executed by both parties. The executed order form will take precedence over this proposal on price and terms.

Kind regards,

Lewis
