After the call, Fiona Marsden asked for written invoicing detail, the separate subscription figure and any flexibility on the £146k total. Lewis Kerr answered on invoicing and said any discount applies to the first term only.

Ask: Fiona wanted to know what is invoiced on signature and annually, what the subscription is, and whether the total can move.

Customer view: The customer side is testing price and cash position before signature. Lewis took the flexibility question to Owen Tallis and warned that renewal returns to list price.

Next: Lewis to send the order form schedule and come back with Owen's answer ahead of 14 Feb 2025.

Malcolm, Fiona, Bernadette, Thank you for your time on the call. To put a number on it, the proposal as it stands is the Enterprise tier at £146,500 in total, plus VAT. That figure includes the one-off implementation fee, so it is the value of the whole deal and not an annual price. The order form will show the split between implementation and subscription so you can read it line by line. As I understood the call, three points are still open: - Fiona: the payment schedule and terms in the order form under the MSA. - Bernadette: which systems the credit control team wants connected first, so the connector list in the order form matches how your team works. - Malcolm: how you would like to measure the return once the brain is live, so we can write that into the plan. Our aim is to have the order form signed by 14 Feb 2025. I have copied Owen, who signs off any commercial change on our side. If I have missed anything, please say and I will fold it in. Kind regards, Lewis

Lewis, Thank you for the summary. I have been through it with Malcolm and Bernadette and we have a few queries. First, can you confirm in writing how the invoicing works: what is invoiced on signature and what is invoiced annually? Malcolm will want to know what it does to our cash position, so please be specific. Second, the subscription element is not stated separately in your note. Please confirm what it is. Third, we would like to understand whether there is any flexibility on the total before we go to signature. Regards, Fiona Marsden Procurement Manager, Merriott Lyle Distribution

Fiona, Malcolm, Bernadette, Thank you, Fiona. Taking your points in order. Invoicing: the implementation fee is invoiced on signature and the subscription is invoiced annually in advance, on thirty-day terms. Quarterly invoicing is available on request if that suits your cash position better. I will set both out in the order form so it is in writing. Subscription figure: I do not want to quote that from memory in an email. It will be on the schedule of the order form, which I will send over today, and the two parts will add up to £146,500 plus VAT. Flexibility: I have taken this to Owen. One thing to be clear about now is that any discount applies to the first term only, and renewal returns to the list price. I will come back to you with his answer ahead of 14 Feb 2025. > On 5 Feb 2025, at 15:49, Fiona Marsden wrote: > Third, we would like to understand whether there is any flexibility on the total before we go to signature.
