Parties
This Master Services Agreement is made between:
- BB-Demo, a data business based in London ("BB-Demo"); and
- Veenendrecht Payments, a payment service provider based in Utrecht, the Netherlands ("the Customer").
BB-Demo provides the company brain, an AI-queryable layer over the Customer's own systems, built and run inside the Customer's own Snowflake account. The Customer has chosen the Growth tier so that its merchant success and merchant risk teams can see each merchant's disputes, tickets and volumes together.

Billing and payment

Service credits are calculated on availability. A brain that was available but answering on stale data is not an availability breach under this agreement.
Implementation
BB-Demo will connect up to eight of the Customer's systems to the brain during the implementation period, working with the Customer's nominated technical contact. The Customer will provide timely access to the systems concerned and to a named administrator.
Data protection
The parties' obligations for personal data are set out in the separate Data Processing Agreement signed on the same date. If the two documents conflict on personal data, the Data Processing Agreement prevails.
General terms
- This agreement and its order lines are the whole agreement on the subject matter and replace any earlier proposal, quotation or draft.
- Changes must be in writing and signed by both parties.
- This agreement is governed by the laws of England and Wales.
