Draft Master Services Agreement for the Growth tier, prepared 24 Feb 2026, not signed. It states 99.5% availability, P1 first response of 1 business hour, and a £45k annual charge after a 10% first-term discount.

What it is: a draft MSA prepared by Lewis Kerr, marked "Not for signature until the open points at the end are closed." No signatures have been given.

Commits: availability 99.5%, P1 first response 1 business hour, and a service credit of "10% of one month's fee for each month in which availability is missed". The annual recurring charge is £45k and total contract value £57k, with payment within 30 days.

Unusual: the 10% discount is on the Growth list of £50k and applies to the first term only. The credit covers availability only, not data freshness.

Not settled: the liability cap wording, the data protection schedule and the order form. The text does not show an executed copy, so this is an open item and not contracted price or terms.

Background

Hartside Student Living operates purpose-built student accommodation across eight university cities. It has chosen the Growth tier of B-Glass so that its university partnerships and resident services teams can see each university's nomination agreements, tickets and invoices together. The brain is built and run inside the Customer's own Snowflake account.

This agreement sets the terms on which BG-Demo supplies the subscription and the implementation. The commercial detail is set out in the Commercial summary below and will be repeated in the order form issued under this agreement.

Terms

1. Definitions and scope

The "Service" means the Growth tier of B-Glass, supplied to the Customer for use by its own staff. The "Implementation" means the fixed-fee set-up work described in the commercial summary. Each order form issued under this agreement forms part of it.

2. Term

The initial term runs from 10 Apr 2026 to 9 Apr 2027. BG-Demo will give notice of renewal ahead of the end of the term, and the renewal price will be confirmed in writing before it takes effect.

3. Fees and payment

The Customer will pay the subscription annually in advance and the implementation fee on the invoice raised for it. Undisputed invoices are payable within 30 days. Any dispute should be raised in writing before the due date.

4. Service levels

MeasureCommitment
Availability99.5%
P1 first response1 business hour
Service credit10% of one month's fee for each month in which availability is missed
Credit basisAvailability only

The service credit is calculated on availability. It does not extend to data freshness under the Growth tier.

5. Customer responsibilities

The Customer will give BG-Demo timely access to the source systems it wishes to connect, will name an administrator, and will keep its own users within the Growth allowance unless it buys additional capacity.

6. Data and security

The Customer's data stays in its own Snowflake account. BG-Demo will process it only to provide the Service and will follow the data protection terms agreed between the parties.

7. Liability and termination

Each party's liability is limited as set out in the final agreed schedule. Either party may terminate for material breach that remains unremedied after reasonable written notice.

8. Governing law

This agreement is governed by the law of England and Wales.
