Background
Carnmoor Fleet Leasing is a contract-hire and fleet-management company. It wishes to use the BB-Demo company brain so that its corporate account managers, its driver service desk and its remarketing team can see each client's fleet, queries and invoices together. BB-Demo will build and run the brain inside the Customer's own Snowflake account.
Services and tier
BB-Demo will provide the Growth tier of the company brain, together with a fixed-fee implementation. The Growth user allowance and the Growth connector allowance apply, and the Growth tier includes the dashboards builder and quarterly business reviews led by the customer success manager.

The discount of 5% applies to the subscription for the first term only. At renewal the subscription is charged at the list price in force for the tier at that time, unless the parties agree otherwise in writing.
Term
- The subscription starts on 2 Dec 2025.

Billing and payment

Implementation
BB-Demo will deliver the implementation over eight weeks from the start date. Connectors named in the final order form will carry a commitment to be live within the number of days stated there. Systems to be connected are agreed during onboarding and are limited to the Growth connector allowance.

Service credits
If availability falls below the commitment in a month, the Customer is entitled to a service credit of 10% of one month's subscription fee for that month. Credits are given for availability only. A delay in the nightly refresh is a support matter and does not give rise to a service credit under this agreement.
Data and security
- The brain runs inside the Customer's own Snowflake account. The Customer remains controller of its data and BB-Demo acts only on its documented instructions.
- BB-Demo will keep access to the Customer's environment limited to named staff who need it to deliver the services.
- Any additional data protection terms will be set out in a separate data processing agreement, to be signed alongside this agreement.
Customer responsibilities
- Provide timely access to the systems to be connected and to a named technical contact.
- Nominate a business sponsor to confirm scope and sign off the implementation.
- Tell BB-Demo promptly about changes to connected systems that may affect data loading.
Liability and termination
Each party's liability is limited as set out in BB-Demo's standard terms, which are incorporated by reference. Either party may terminate for material breach that remains unremedied after a reasonable notice period. On termination BB-Demo will return or delete the Customer's data as the Customer directs.
