1. Parties
This Data Processing Agreement ("DPA") is made between BB-Demo, a company incorporated in England, with principal place of business in London, United Kingdom (the "Processor"), and Kadewerk Software, a company registered in the Netherlands ("Customer" or "Data Controller").
2. Definitions
Personal Data means any information relating to an identified or identifiable natural person.
Data Subject means the individual to whom Personal Data relates.
Processing means any operation performed upon Personal Data.
Processor means the entity that processes Personal Data on behalf of a Data Controller.
3. Scope
This DPA governs the Processing of Personal Data by BB-Demo on behalf of Kadewerk Software in the provision of the Company Brain platform and related services.
4. Processing Instructions
BB-Demo shall process Personal Data only in accordance with the documented instructions from Kadewerk Software, including with regard to transfers of Personal Data outside the European Economic Area.
5. Confidentiality

BB-Demo shall ensure that any natural person authorised to process Personal Data is bound by confidentiality.
6. Sub-processors
BB-Demo shall not engage sub-processors without prior specific or general written authorisation from Kadewerk Software. BB-Demo shall impose equivalent data protection obligations on any sub-processor.
7. Security
BB-Demo shall implement appropriate technical and organisational measures to ensure a level of security appropriate to the risk, including inter alia as appropriate:
- Encryption of Personal Data in transit and at rest
- Ability to restore availability and access to Personal Data in a timely manner
- Regular testing of security measures
- Documentation of processing activities
8. Data Subject Rights
BB-Demo shall, taking into account the nature of Processing, assist Kadewerk Software by implementing appropriate technical and organisational measures to fulfil Data Subject rights.
9. International Transfers
Where Personal Data is transferred outside the European Economic Area, appropriate safeguards are in place as documented separately.
10. Deletion and Return
On termination of services, BB-Demo shall, at Kadewerk Software's choice, delete or return all Personal Data.
11. Audit
Kadewerk Software shall have the right to audit or require certification of BB-Demo's compliance with this DPA.
