Parties
This agreement is made between:
- BB-Demo, a London data business that provides the company brain ("BB-Demo"); and
- Kelvinhaugh Pension Services, a third-party administrator of pension schemes, based in Glasgow ("the Customer").
The Customer's account owner at BB-Demo is Priya Raman and its customer success manager is Daniel Okafor. The agreement was prepared and negotiated by Tom Ashdown, Account Executive.
Background
BB-Demo builds and runs the company brain inside the Customer's own Snowflake account. The Customer wishes to subscribe to the Starter tier for its scheme-relationship managers and to have BB-Demo implement the service. This agreement sets out the commercial terms, the service levels and the general conditions that apply.

General conditions
Services
BB-Demo will implement the Starter service within the implementation period stated above and will then provide the subscription for the term. The Customer will give reasonable access to its systems and people so that connectors can be set up.
Fees and payment
BB-Demo will invoice the amounts shown in the order lines. The Customer will pay each invoice within 30 days. All amounts are in pounds sterling.
Data and confidentiality
The Customer's data stays within the Customer's own Snowflake account. Each party will keep the other's confidential information confidential and use it only for the purposes of this agreement. Personal data is dealt with in the separate Data Processing Agreement signed on the same date.
Liability
Neither party excludes liability that cannot lawfully be excluded. Otherwise, each party's liability is limited as the parties have separately agreed in writing.
Governing law
This agreement is governed by the law of England and Wales.
