Parties
This Master Services Agreement is made between BB-Demo, a London data business ("BB-Demo"), and Pentreath Cold Chain, of Bristol ("the Customer").
The Customer provides temperature-controlled storage and distribution for food and pharmaceutical clients. It has bought the Growth tier so that its account managers can see each client's temperature-excursion tickets, orders and contract reviews together.
Services
BB-Demo will provide the company brain on the Growth tier. The brain is built and run inside the Customer's own Snowflake account and gives the Customer's teams one AI-queryable layer over the systems connected to it. The Growth tier includes pages, chat and search, the dashboards builder and quarterly business reviews.
BB-Demo will also carry out the Growth implementation as a fixed-fee, one-off engagement of eight weeks, covering up to eight connectors.

Term

- The term ends on the end date unless the parties agree a renewal in writing. BB-Demo's customer success manager, Daniel Okafor, will raise renewal with the Customer ahead of the end date.
Billing and payment

- Invoices are payable within 30 days of the invoice date.
- All amounts are in pounds sterling.

Service credits under this agreement are earned for availability only. A shortfall in data freshness does not earn a credit on the Growth tier.
Customer responsibilities
The Customer will give BB-Demo timely access to the systems to be connected, name an administrator for the brain, and make sure that its users follow the acceptable use rules supplied at onboarding.
Data protection
The parties have signed a separate Data Processing Agreement on the same date. It governs how BB-Demo handles personal data on the Customer's behalf and forms part of this arrangement.
General
- This agreement and its order lines are the whole agreement for the services described and replace any earlier draft or proposal.
- Any change must be in writing and signed by both parties.
- The agreement is governed by the law of England and Wales.
