Background
Brenneck Pay has been a BB-Demo customer since 3 Feb 2026 on the Growth tier, so that merchant account managers and merchant risk work from one view of each merchant. The current Growth subscription runs to 2 Feb 2027 at a contracted annual recurring revenue of £50,000.

Brenneck Pay has decided to move to the Enterprise tier from the day after the Growth term ends. The Enterprise subscription below therefore replaces the Growth renewal. No Growth renewal will be raised for the term starting on 3 Feb 2027.

What the Enterprise tier includes
The Enterprise tier gives Brenneck Pay the following, as described in the BB-Demo price book:
- Company-wide use of the brain across pages, chat and search, and the dashboards builder.
- The Enterprise connector allowance, so that further source systems can be connected as Brenneck Pay's needs grow.
- Single sign-on and SCIM provisioning.
- A named executive sponsor at BB-Demo.
- Quarterly business reviews led by the customer success manager.
- Security review support as part of the Enterprise relationship, including answers to the information security and outsourcing questions Brenneck Pay needs for its own supplier register.
The number of licensed users under this order form is 40. Additional users can be added by written change to this order form.
Term
| Item | Date |
|---|---|
| Order form signed | 7 Oct 2026 |
| Current Growth term ends | 2 Feb 2027 |
| Enterprise subscription start | 3 Feb 2027 |
| Enterprise subscription end | 2 Feb 2028 |
The Enterprise subscription runs for one year from the start date and ends on 2 Feb 2028. Until 2 Feb 2027 the existing Growth subscription continues unchanged on its current terms, and nothing in this order form alters it.
BB-Demo's customer success manager will contact Brenneck Pay ahead of the end date to start the renewal conversation.

| Item | Term |
|---|---|
| Billing frequency | Annual, in advance |

| Amount invoiced | £125,000 |
| Payment terms | 30 days from the date of invoice |

Service levels
The following service levels apply to the Enterprise subscription from the start date and are part of this order form.
| Service level | Commitment |
|---|---|
| Availability | 99.9% |
| P1 first response | 0.5 hours (half an hour) |
| Nightly refresh | Complete by 07:00 customer local time on business days |
Service credits
If BB-Demo misses the availability commitment, or the nightly refresh is not complete by the agreed time, in a given month, Brenneck Pay is entitled to a service credit of 10% of one month's fee for that month. Credits are available for both availability and data freshness. A credit is applied against a later invoice and is a one-off adjustment: it does not change the annual price or the contracted annual fee.
Availability and freshness are measured separately. A brain that is available but answering on data that was not refreshed on time is a freshness breach.
Data location and governance
- The brain is built and run inside Brenneck Pay's own Snowflake account, and Brenneck Pay's data remains in the EU region configured for it.
- BB-Demo will support Brenneck Pay's outsourcing register by providing, on request and in writing, the documentation Brenneck Pay needs to describe the service, its governance and its exit arrangements.
- Brenneck Pay's information security and procurement teams have reviewed the terms before signature.
Exit
On expiry or termination, Brenneck Pay's data stays in its own Snowflake account. BB-Demo will withdraw its access and the brain's processing, and will confirm the withdrawal in writing on request. The detailed exit provisions are those in the Master Services Agreement.
General
- This order form is governed by the Master Services Agreement between the parties and forms part of it.
- Any change to the lines, term, price or service levels above must be agreed in writing and signed by both parties.
- This executed order form decides the contracted price and terms for the Enterprise subscription. It supersedes any earlier draft or proposal for the same subscription.
