Parties
This agreement is made between:
- BB-Demo, a data business based in London ("BB-Demo"), and
- Brakkevoort Logistics, a port-linked warehousing and road freight business based in Rotterdam ("the Customer").
BB-Demo account owner: Tom Ashdown. BB-Demo customer success manager: Natalie Eze.
Background
The Customer wishes to use the BB-Demo company brain so that its account managers can see shipper accounts, exception tickets and calls together. BB-Demo builds and runs the brain inside the Customer's own Snowflake account. This agreement sets out the commercial terms for the subscription and the one-off implementation.

Term
- The subscription starts on 1 Apr 2025.
- The initial term ends on 31 Mar 2026.
- Renewal is agreed in writing before the end date. BB-Demo's customer success manager opens the renewal conversation ahead of the notice period.
Billing and payment
- The subscription is billed quarterly.
- The implementation fee is a one-off charge, invoiced once.
- Invoices are payable within 30 days of the invoice date.
- All amounts are in pounds sterling.
- No discount applies to either line.

Service credits are available for availability breaches only. A period in which the brain was available but answering on stale data is not an availability breach under the Growth tier.
Implementation
BB-Demo will carry out the Growth implementation over eight weeks, connecting up to eight of the Customer's systems to the brain inside its Snowflake account. The Customer will provide access to those systems and a named technical contact so that the work can finish on schedule.
Data and confidentiality
- The Customer's data stays in the Customer's own Snowflake account.
- Each party keeps the other's confidential information confidential and uses it only for the purposes of this agreement.
- Personal data is handled under the separate Data Processing Agreement signed on the same day.
General
- This agreement, with its order lines, is the whole agreement on the subject matter and replaces earlier proposals and drafts.
- Changes must be in writing and signed by both parties.
- The agreement is governed by the laws of England and Wales.
