What it says
What this says
Current to 11 Oct 26Unsigned draft MSA for the Growth tier, prepared 4 Mar 2025. States availability of 99.5%, P1 first response of one business hour, and a £44,000 annual subscription plus £12,000 one-off implementation. Not executed by either party.
What it is: a draft Master Services Agreement, version two, marked "Not yet signed by either party". It covers the Growth tier, run inside the customer's own Snowflake account, for a term from 1 Apr 2025 to 31 Mar 2026.
Commits: availability of 99.5%, P1 first response of "One business hour", and nightly refresh by 07:00 customer local time on business days. The subscription is billed quarterly, payable within 30 days.
Unusual: the Growth service credit is 10% of one month's fee for an availability miss, and credits are "for availability only", so stale data is not a breach. Quarterly billing is off the standard annual in advance.
Not settled: the data protection schedule, the customer signatory's name and title, and the quarterly invoice dates are open. The text does not show whether an executed copy exists; if one does, it supersedes this draft.

Service levels
| Measure | Commitment |
|---|---|
| Availability | 99.5% |
| P1 first response | One business hour |
| Data refresh | Nightly refresh complete by 07:00 Customer local time on business days |
| Service credit | 10% of one month's fee for a month in which the availability commitment is missed |
Service credits are given for availability only. A brain that is available but answering on stale data is not an availability breach under this agreement.
Customer responsibilities
The Customer will give the Supplier timely access to the systems being connected, name a sponsor, and tell the Supplier of changes to connected systems that may affect data loading.
Data and security
Customer data stays in the Customer's Snowflake account. The Supplier will process it only to provide the services and will follow the data protection terms to be attached as a schedule.
Changes and renewal
Changes to this agreement must be in writing and signed by both parties. The customer success manager will raise renewal with the Customer ahead of the end of the term.
Open points in this draft
- The Customer's legal team is still to confirm the data protection schedule.
- The name and title of the Customer's signatory are still to be agreed.
