What it is: a DPA under which BB-Demo processes personal data from the controller's CRM, call recordings, email and ticketing system. Section 6 says it "begins on 1 January 2025 and ends when the Service Agreement ends or is terminated".
Commits: BB-Demo retains data "only for the duration of this DPA and the Service Agreement" and does not use data for any other purpose. It will notify the controller of any sub-processor changes.
Unusual: nothing off standard terms. The only sub-processor is Snowflake Inc., located within the customer's own Snowflake account, and the Standard Contractual Clauses are incorporated where required.

Quaystead Marine Services - Data Processing Agreement
1. Parties
This Data Processing Agreement ("DPA") is between BB-Demo Limited ("Data Processor") and Quaystead Marine Services ("Data Controller"), dated 13 Dec 2024.
2. Subject Matter
The Processor processes personal data on behalf of the Controller in connection with the provision of the Company Brain Starter service under the Master Services Agreement dated 1 January 2025.
3. Nature and Purpose
The Processor processes personal data contained in the Controller's CRM, call recordings, email, ticketing system and other connected sources. The purpose is to build and maintain an AI-queryable data layer that allows the Controller's teams to search and analyse this data.
4. Categories of Data
Personal data includes:
- Names, email addresses and telephone numbers of individuals in the Controller's CRM and email systems
- Call participant identities and transcripts from call recordings
- Ticket creator and assignee information from ticketing systems
- Any other personal data the Controller connects to the brain
5. Types of Processing
The Processor:

- Anonymises and aggregates data for reporting and analytics
- Retains data only for the duration of this DPA and the Service Agreement

6. Duration

7. Controller's Rights
The Controller may:
- Request details of personal data held
- Request correction or deletion of personal data (subject to technical constraints of connected systems)
- Request evidence of compliance with this DPA
- Terminate data processing by ending the Service Agreement
8. Sub-processors
The Processor uses the following sub-processor:
- Snowflake Inc. for data storage and processing (located within the customer's Snowflake account)
The Controller authorises use of this sub-processor. The Processor will notify the Controller of any sub-processor changes.
9. Standard Contractual Clauses
To the extent required by applicable data protection law, the parties incorporate the Standard Contractual Clauses as the lawful mechanism for international data transfers.
10. Security
The Processor implements appropriate technical and organisational measures to protect personal data against unauthorised or unlawful processing, accidental loss, destruction or damage.
11. Governing Law
This DPA is governed by English law.
