This is a draft agreement for review. Both parties should confirm acceptance before signing the executed version.
1. Parties
This Master Services Agreement is between BB-Demo Limited, a company registered in England ("BB-Demo"), and Quaystead Marine Services ("Customer"), effective from 1 January 2025 to 31 December 2025.
2. Services
BB-Demo will provide the Company Brain Starter tier and implementation services on the terms below.
3. Service Description
3.1 Subscription
Company Brain – Starter gives Customer one team, up to 15 users (soft limit), four data connectors (hard limit), search and chat interface, and six-monthly check-ins.
3.2 Implementation
A four-week programme to set up connectors, map data, train one team, and validate that Customer can ask questions independently.

5. Term and Renewal
This agreement runs from 1 January 2025 to 31 December 2025. Either party must give 90 days' notice to end on the renewal date. If neither party gives notice, the subscription renews for a further year at the then-current list price.

7. Data Protection
BB-Demo and Customer will execute a Data Processing Agreement before service begins.
8. Confidentiality
Each party holds the other's confidential information in confidence and uses it only to perform this agreement. Confidential information excludes information already public or independently derived.
9. Liability
BB-Demo's total liability under this agreement is the fees paid or payable in the 12 months preceding the claim. This does not exclude liability for death, fraud or indemnification.
10. Governing Law
This agreement is governed by English law and the exclusive jurisdiction of the English courts.
