What the paper says
Document roll-up
Current to 11 Oct 26Marlstone Legal's governing paper is the executed renewal order form of 16 Mar 2026: Growth, 1 Apr 2026 to 31 Mar 2027, £44,000. Earlier proposals quoted £39,600 a year after year one, and the signed MSA's service credit is wider than both order forms allow.
Executed: Four documents are executed. These are the Master Services Agreement, the Data Processing Agreement and the first order form, all dated 14 Mar 2025, and the renewal order form dated 16 Mar 2026.
The renewal order form governs now: Growth year 2, 1 Apr 2026 to 31 Mar 2027, £44,000. It states the first-term discount has expired and continues under the existing MSA and DPA.
Open items: Two drafts are on file, Proposal v1 of 4 Feb 2025 and MSA v2 of 24 Feb 2025. Both were superseded by the executed paper of 14 Mar 2025.
The proposal of 7 Feb 2025 is stored as final, but it is a proposal and not contract. Under the price book, the term after 31 Mar 2027 moves to the v2 Growth list of £50,000, a rise of +13.6%.
Contradictions:
- The proposals of 4 Feb 2025 and 7 Feb 2025 quote £39,600 per year after the first year. The renewal order form of 16 Mar 2026 charges £44,000 for year 2.
- The signed MSA of 14 Mar 2025 gives a service credit of 10% of one month's fee per month below SLA, not limited to availability. Both order forms limit it to availability.
- The draft MSA v2 of 24 Feb 2025 allows termination on 30 days' notice after the first 12 months. The signed MSA allows termination only for material uncured breach.
- The security questionnaire of 28 Jan 2025 describes client data as stored on-premises. The signed DPA holds all data in the customer's own Snowflake account.
Commitments: The renewal order form commits to 99.5% uptime, a P1 first response of 1 business hour and a nightly refresh by 07:00 UK time. Billing is annual in advance on 1 Apr 2026, payable within 30 days.
The signed DPA adds four obligations: data held in the customer's Snowflake account, no sub-processors without written consent, customer audit rights, and an indemnity with no stated cap.
Gaps: The text of both order forms has blank signature lines, and the DPA names no Marlstone Legal signatory. The evidence does not show who signed for the customer.
No document states an auto-renewal clause or a price after 31 Mar 2027. No document shows whether go-live or all eight connectors were achieved.
