Open items: the proposal of 17 Apr 2023 is a draft marked not for execution, and the proposal of 20 Apr 2023 is stored as final but worded as an offer. The draft MSA v2 of 4 May 2023 was superseded when the MSA was signed on 19 May 2023.
Contradictions: both proposals bill the subscription in advance on a calendar year, with implementation due upon contract start. The order form of 19 May 2023 bills annually in advance for 1 Jun 2023 to 31 May 2024, with implementation payable within 30 days of invoice.

Commitments: under the order form of 18 May 2026, BB-Demo owes 99.5% availability, P1 first response in 4 business hours, service credits of 5% of one month's fees and a nightly refresh by 07:00 customer local time. Billing is annual in advance, net 30 days from invoice.
The data processing agreement of 19 May 2023 has BB-Demo indemnify Brindlecote for breach of its processing obligations, with no cap stated. It also requires notice of any new sub-processor.
The 1 Jun 2026 start fell before the v2 cut-off in the price book, so the v1 Starter price of £19,500 still applied. A term starting after 31 May 2027 would move to the v2 Starter list of £22,000.
Gaps: all ten documents were read. No signed document names the customer signatory, only an authorised signatory, and no order form states auto-renewal or a notice period.
The MSA allows termination for convenience at contract end with 90 days' notice, but the documents do not show whether that clause still governs the later terms. They also do not show whether the four connectors went live.
