Malcolm Ridgway, CFO, pushed back that the £146,500 is a total, not an annual cost, and asked for the annual and implementation figures and the connector remedy in writing. By 13 Jan 2025 the split was clear and he asked for a call.

Ask: Malcolm wanted the annual subscription and implementation fee separated, and the cost if a connector is not live on time. Lewis Kerr confirmed the £146,500 includes implementation and pointed to the order form schedule.

Customer view: Malcolm accepted the split but has two questions left, on the remedy clause and on invoicing phasing. He wants to see the effect on debtor days before going to the board.

Next: Lewis to send call times to Malcolm.

Hello Deepa and Malcolm, Thank you both for the time yesterday and today. As promised, the proposal for the Enterprise tier is attached, and I have set out the commercial position below so that it sits in one place. The total deal value in the proposal is £146,500, excluding VAT. That figure is the total and includes the one-off, fixed-fee implementation, so it should not be read as the annual subscription. The order form schedule separates the two, and the connectors you want live are listed there with their commitments. We are working towards signature by 14 Feb 2025, which would leave the implementation plenty of room. If there is anything in the schedule you would like changed, tell me and I will come back with a revised version rather than a verbal answer. Kind regards, Lewis

Lewis, I have read the proposal. You quote £146,500. That is the total, not the annual cost. What is the annual figure, and what is the implementation fee? Second, the connectors. What happens if one is not live when you said it would be? And the cost of that is? Put both answers in writing. Malcolm Ridgway

Hello Malcolm, Understood, and you are right: the £146,500 is the total deal value including the implementation fee, and I should have made that clearer in the covering email. The annual subscription and the implementation fee are separate lines on the order form schedule, with the base for each shown. I have not quoted either from memory here, and the attached schedule is the document to rely on. On connectors: each connector named in the order form carries a commitment to be live within a set number of days. The schedule states that period for each one. If it is missed, the order form sets out the remedy, and I have marked that clause for you. If it would help, I am happy to take you through the schedule line by line. Deepa, I have copied you so you can see the same document. Kind regards, Lewis

Lewis, Read the schedule. The split is clear now. I have two questions left on the remedy clause and on how the invoicing is phased. I will want to see what that does to debtor days on our side before I take it to the board. I would rather settle it on a call than by email. Send me some times. Malcolm Ridgway
