Current to 11 Oct 26Graham Rowntree could not sign the £150,500 Enterprise order form on 27 Mar 2026. He asked for a plain break clause, quarterly invoices in arrears of milestones, and a split of the total. Matteo Ricci promised a revised copy on 1 Apr 2026.
Ask: Graham raised three points: break clause notice and start point, invoice timing, and the split between one-off and subscription elements of £150,500.
Customer view: he is engaged and says he will turn a revised copy round quickly, but will not pay ahead of a milestone.
Next: the thread ends with a promise of a revised form and does not show it or a signature.

- Matteo Ricci 25 Mar 2026 17:37Dear Graham, Please find the order form for Hollowmere Care Group attached, for your signature. It reflects what we discussed: the Enterprise tier, quarterly billing, and the break clause wording as we left it. The total deal value is £150,500, which includes the one-off implementation fee. We had pencilled in Friday 27 March 2026 for signature, so I wanted you to have it in good time to read it with your team. If anything in it does not match your understanding, please tell me and I will correct it before you sign. Best regards, Matteo
- Graham Rowntree 27 Mar 2026 11:26Matteo, Received. I have read it and have three points. 1. The break clause: I need the notice period and the point from which it applies stated plainly. 2. Quarterly invoices: please confirm they fall in arrears of the milestone, not ahead of it. We do not pay ahead of a milestone. 3. The total of £150,500: please show the split between the one-off element and the subscription, so I can see what it does to the margin. I cannot sign today. Send a revised copy and I will turn it round quickly. Graham Rowntree, CFO
- Matteo Ricci 1 Apr 2026 13:23Dear Graham, Thank you for your points last week, and apologies that this has taken a few days. I have been through each of them with our finance team and with our legal contact. I will send you the revised order form shortly, with the break clause and the invoicing sequence written out in full, and the split of the £150,500 shown line by line. Let me confirm that in writing as soon as it is cleared on our side, so that nothing reaches you half-finished. If it would help to have ten minutes on the phone before you read it, I am happy to do that. Best regards, Matteo
