MASTER SERVICES AGREEMENT

1. Parties
This agreement is between:
- BB-Demo (the "Company")
- Tannahill Systems (the "Customer")
2. Services
BB-Demo will provide the Company Brain, a data integration and analytics platform, configured for the Starter tier. The service includes:
- Connection of multiple data sources (connectors)
- Queryable layer over CRM, ticketing, communications and financial systems
- Search, pages and chat functionality
- Team access and support
- Six-monthly check-in and support
3. Implementation
BB-Demo will deliver a four-week implementation including:
- Data source discovery and connector configuration
- Testing and validation
- User training
- Go-live support
Implementation will commence on 6 April 2023 and be completed within four weeks.
4. Term and Renewal
- Start date: 6 April 2023
- Initial term: One year
- Expiry date: 5 April 2024
- Renewal: Automatic annual renewal unless either party gives 90 days' notice

6. Service Levels
Availability
BB-Demo commits to 99.5% availability of the platform during business hours (Monday to Friday, 07:00 to 20:00 UK time).
Service credit: If availability falls below 99.5% in any month, the Customer is entitled to a credit of 5% of that month's subscription fee.
Support Response
For P1 issues (system outage or data unavailability):
- First response: Within 4 business hours
- Scope: Standard support via email
Data Refresh
Data from connected sources is refreshed nightly. Refresh cycles will complete by 07:00 customer local time on each business day.
7. Confidentiality and Data
The Customer's data remains in the Customer's Snowflake account at all times. BB-Demo has no access to raw data, only to the indexed, queryable layer.
8. Limitation of Liability
Neither party shall be liable for indirect, incidental or consequential damages.
9. Termination
Either party may terminate this agreement for convenience with 90 days' written notice.
