What it says
What this says
Current to 11 Oct 26Unsigned draft MSA prepared 27 May 2025 for an Enterprise subscription: 99.9% availability, P1 first response 0.5 hours, £99k annual recurring charge after a 10% first-term discount. Total contract value £129k, not an annual price.
What it is: a draft Master Services Agreement, version 2, prepared by Lewis Kerr. It states "Not for signature until the open points below are closed" and the signature blocks are blank.
Commits: Enterprise tier, 10 Jul 2025 to 9 Jul 2026, billed "Quarterly, in advance" on 30 days from invoice. Service credit is "10% of one month's fee for each month with a breach" on availability and data freshness, with nightly refresh complete by 07:00.
Unusual: the 10% discount applies to the first term only, and the implementation is "up to twelve connectors" over twelve weeks.
Not settled: three open points remain (data processing wording, connector list, invoicing contact). The text does not show that an executed copy exists, so this draft is an open item and cannot be treated as contracted terms.
