Parties
This Master Services Agreement is made between BB-Demo, a London data business ("BB-Demo"), and Kingdon Diagnostics of Newcastle upon Tyne ("the Customer"), an independent diagnostic imaging network providing MRI and CT services from twelve sites in the North East and Cumbria.
Background
The Customer has chosen the Growth tier of the company brain so that its contract managers can see each trust's referrals, reporting-turnaround tickets and invoices together. BB-Demo builds and runs the brain inside the Customer's own Snowflake account. This agreement sets out the commercial terms for the subscription and the one-off implementation.

Term
The subscription starts on 6 Jan 2025 and runs to 5 Jan 2026. Renewal is a separate conversation led by the BB-Demo customer success manager, who will give notice ahead of the end date in the usual way.
Billing and payment

The service credit applies to availability only. A brain answering on data that is late to refresh was still available, and is not an availability breach under this agreement.
Responsibilities
BB-Demo will deliver the implementation, connect the agreed sources, operate the brain inside the Customer's Snowflake account and provide support at the Growth service level.
The Customer will provide timely access to the systems being connected, name an administrator and keep BB-Demo informed of material changes to those systems.
Data protection
The parties have signed a separate Data Processing Agreement on the same date. It governs the handling of personal data under this agreement.
Governing terms
This agreement, together with the order lines above, forms the whole commercial arrangement for the Growth subscription and implementation. Where an earlier draft or proposal differs, this executed copy prevails.
