Parties
This agreement is between BB-Demo, a London data business (the Supplier), and Kingdon Diagnostics, of Newcastle upon Tyne (the Customer).
Purpose
The Supplier will provide the company brain to the Customer: an AI-queryable layer over the Customer's connected systems, built and run inside the Customer's own Snowflake account, on the Growth tier.

The total contract value includes the one-off implementation fee. Only the subscription line of £42k is annual and recurring. The discount applies to the first term only.

Service credits are payable for a month in which the availability commitment is not met. They are not payable for data freshness under this agreement.
Fees and payment
The Supplier will invoice the annual subscription in advance at the start of the term and the implementation fee on the basis agreed in the order form. Each invoice is payable within 30 days of the invoice date.
Renewal
At the end of the term the subscription renews only by agreement. The Supplier's customer success manager, Amara Obi, will open the renewal conversation ahead of the end date. Pricing at renewal follows the Supplier's list price then in force, and the first-term discount does not carry over.
