Parties
This agreement is made between:
- BB-Demo, a London data business, which provides the company brain (the "Supplier"); and
- Grisedale Search & Selection, a Manchester recruiter for finance, legal and HR roles across the North West (the "Customer").
BB-Demo account owner: Priya Raman, Account Executive. Customer success manager: Marcus Bell.
Background
The Customer wishes to give its consultants and its operations manager one place to see client accounts, open roles and client complaints. The Supplier will build and run the company brain for the Customer on the Starter tier, inside the Customer's own Snowflake account, on the terms below.

Term

The subscription runs for the term above. Any renewal is agreed in writing before the end date.
Fees and billing
- The subscription is billed annually.
- The implementation fee is a fixed, one-off fee and is invoiced separately from the subscription.
- Invoices are payable within 30 days of the invoice date.
- No discount applies to either line.
- All amounts are in pounds sterling.

Service credits are given only where the availability commitment is missed. They are not given for data freshness under this order.
Scope of service
The Supplier will:
- connect up to four of the Customer's systems during the implementation period;
- make pages, chat and search available to the Customer's users;
- run the brain inside the Customer's own Snowflake account; and
- provide the Starter tier check-in with the customer success manager.
The Customer will give timely access to the systems being connected and name a lead for the implementation.
Data protection
The parties have signed a separate Data Processing Agreement on the same date. It governs the processing of personal data under this agreement.
General
- This agreement and the order summary above are the entire agreement for the Starter subscription and implementation.
- Any change must be in writing and signed by both parties.
- This agreement is governed by the law of England and Wales.
