Body
Quarrington Care Network - Master Services Agreement v2
Status: Draft. Prepared on 24 Mar 2026 for review by Quarrington Care Network. Not binding until both parties have signed.
Parties
| Party | Details |
|---|---|
| Supplier | BB-Demo, London, United Kingdom |
| Customer | Quarrington Care Network, Chicago, a home-health and hospice operator |
| BB-Demo account owner | Jordan Pike, Account Executive, US |
| BB-Demo customer success manager | Hollie Grieve |
Background
Quarrington Care Network has chosen the Growth tier of the BB-Demo company brain so that its referral-relations and patient-services teams can see each referring hospital's calls, tickets and contracts together. BB-Demo builds and runs the brain inside the Customer's own Snowflake account. Because the Customer is a healthcare organisation, the parties will also put in place a business associate agreement alongside this agreement, and that document governs the handling of protected health information.

| SKU | Item | Quantity | Unit price | Discount | Net amount | Recurring |
|---|---|---|---|---|---|---|
| SUB-GROWTH | Company Brain – Growth | 1 | £50k | 0% | £50k | Yes, annual |
| IMP-GROWTH | Implementation – Growth (eight weeks, up to eight connectors) | 1 | £12k | 0% | £12k | No, one-off |
Annual recurring revenue (contracted): £50k per year for the subscription.
Total contract value: £62k, being the annual subscription of £50k plus the one-off implementation fee of £12k.
Term
The subscription starts on 30 Apr 2026 and runs until 29 Apr 2027, unless renewed or ended in line with this agreement. BB-Demo's customer success manager will contact the Customer ahead of the end date to discuss renewal.
Fees and billing
- The subscription fee is invoiced annually in advance.
- The implementation fee is a fixed, one-off fee and is invoiced separately from the subscription.
- Invoices are payable within 30 days of the invoice date.
- No discount applies to either line.
- All amounts are in pounds sterling.
Services
BB-Demo will provide the Growth tier of the company brain: pages, chat and search, the dashboards builder and quarterly business reviews, within the Growth user and connector allowances. The implementation covers the connection of the Customer's systems, up to the number of connectors named in the order summary, over the implementation period of eight weeks.
The nightly refresh is complete by 07:00 customer local time on business days.
Service levels
| Measure | Commitment |
|---|---|
| Availability | 99.5% |
| P1 first response | 1 business hour |
| Service credit | 10% of one month's fee for a month in which the availability commitment is missed |
| Credit basis | Availability only |
Service credits apply to availability. They do not apply to data freshness under the Growth tier. Credits are the Customer's remedy for a missed availability commitment and are applied against a later invoice.
Customer responsibilities
- Provide timely access to the source systems to be connected, and name a technical contact for the implementation.
- Keep its own user list current and tell BB-Demo promptly when administrators change.
- Tell BB-Demo ahead of any change to a connected system that could stop a connector loading.
Data protection and security
The brain runs inside the Customer's Snowflake account, so the Customer's data stays in its own environment. BB-Demo will process personal data only on the Customer's documented instructions and will support the Customer's security review. The business associate agreement referred to above will be agreed and signed before any protected health information is connected to the brain.
Confidentiality
Each party will keep the other's confidential information confidential, use it only for the purposes of this agreement, and return or delete it on request when the agreement ends.
Liability
Neither party excludes liability that cannot lawfully be excluded. Otherwise, each party's total liability under this agreement is limited as set out in the final liability clause, which remains open in this draft.
Termination
Either party may end this agreement for a material breach that is not remedied within a reasonable period after written notice. On ending, BB-Demo will stop providing the services and the parties will agree arrangements for the Customer's data in its own Snowflake account.
Open points in this draft
- Final wording of the liability cap, for review by the Customer's legal team.
- Confirmation of the business associate agreement timetable, relative to the start of the implementation.
- Named technical contact at the Customer for the implementation.
- Confirmation of the connector list to be live by the end of the implementation period.
