Parties
This Master Services Agreement is made between BB-Demo, a London data business ("BB-Demo"), and Dunholm Precision of Sheffield, United Kingdom ("the Customer"). The Customer's account owner at BB-Demo is Tom Ashdown and its customer success manager is Daniel Okafor.
Background
The Customer makes precision machined components for aerospace and energy customers. It has chosen the company brain so that customer orders, quality tickets and sales-engineer calls can be seen and queried in one place. BB-Demo builds and runs the brain inside the Customer's own Snowflake account.
Services and tier
BB-Demo will provide the Company Brain subscription at the Growth tier, together with the one-off Growth implementation, for the term below. The Growth tier covers several teams, the Growth user and connector allowances, the dashboards builder and quarterly business reviews.

Term
The subscription starts on 1 Dec 2024 and the initial term ends on 30 Nov 2025. Renewal is by written agreement of both parties, and BB-Demo's customer success manager will open the renewal conversation ahead of the end date.

A service credit is due for a month in which availability falls below the commitment. Data freshness is not a credited measure under this agreement.
Fees and payment
BB-Demo will invoice the annual subscription and the implementation fee as set out in the order lines. The Customer will pay each undisputed invoice within 30 days. Fees are in pounds sterling and exclude VAT.
Customer data
The Customer's data stays in the Customer's own Snowflake account. BB-Demo processes personal data only under the separate Data Processing Agreement signed on the same date, which forms part of this agreement.
General
This document, with the signed Data Processing Agreement, is the whole agreement between the parties on its subject. Any change must be in writing and signed by both parties. This agreement is governed by the law of England and Wales.
