Harrowden Foods produces own-label chilled ready meals and bakery for UK supermarkets from two sites. BB-Demo will provide the company brain to Harrowden Foods, built and run inside the customer's own Snowflake account, so that commercial insights and customer service can see retailer accounts, service-level complaints and orders together.
Purpose and scope
This agreement sets out the terms on which BB-Demo supplies the Growth tier subscription and the Growth implementation described below. The services connect the customer's chosen systems to the brain and make the combined data available to the customer's teams for questions, search, pages, chat and dashboards.

The subscription runs for one annual term from the start date to the end date. Renewal terms will be discussed ahead of the end date, and BB-Demo will give notice in good time before the term ends.

The total contract value is the sum of the first-year subscription and the one-off implementation fee. Only the subscription of £50,000 recurs each year. VAT is added where applicable.
Billing and payment

Implementation
BB-Demo will carry out the Growth implementation over eight weeks, connecting up to eight of the customer's systems to the brain. The customer will name its technical contact and give BB-Demo the access needed to each source system. The customer's team will review the first pages and dashboards with BB-Demo before the implementation is treated as complete.

Service credits are calculated against availability. Data freshness is monitored and reported, but a late refresh on its own does not give rise to a service credit under the Growth tier.
Customer responsibilities
- Keep source systems and credentials current, and tell BB-Demo promptly when a system is changed or replaced.
- Nominate an administrator and a business sponsor for the brain.
- Use the service in line with the agreed tier allowances for users and connectors.
Data protection and security
The brain runs inside the customer's own Snowflake account, so the customer remains in control of its data. BB-Demo will process data only on the customer's instructions and for the purpose of providing the services. A data processing agreement will accompany the signed version of this document.
Confidentiality
Each party will keep the other's confidential information secure, use it only for this agreement and not disclose it except where the law requires or the other party agrees in writing.
Changes
Any change to the services, fees or service levels must be agreed in writing by both parties. Added users or connectors beyond the Growth allowance will be quoted separately and, where possible, co-termed to the end date above.
