This Order Form is made under the BB-Demo Master Services Agreement between the parties below. Where this Order Form and any earlier draft, proposal or quotation differ, this executed Order Form prevails.

Purpose
Ardcarne Life Assurance is buying the company brain to give broker distribution and customer service one view of each broker firm. The brain is built and run inside the Customer's own Snowflake account, and the Customer's data stays in that account.

The Customer is supervised by the Central Bank of Ireland and is subject to DORA. The parties completed a security review before signature, and the Supplier will continue to support the Customer's regulatory and third-party risk requirements during the term.

What the Enterprise tier includes
- The Enterprise user allowance and the Enterprise connector allowance, as set out in the Supplier's current tier description.
- Pages, chat and search across the Customer's connected systems.
- The dashboards builder and quarterly business reviews.
- Single sign-on and SCIM provisioning.
- A named executive sponsor at the Supplier.
Any further users, connectors or add-ons will be agreed in a separate written order and priced at the Supplier's price list in force on that date.

Billing and payment

Service credits
The Customer is credited for a breach of availability and for a breach of data freshness. A brain that is answering on stale data counts as a freshness breach even where the service was available. Credits are applied against the next invoice and are the Customer's remedy for a service level miss, without affecting any other right under the Master Services Agreement.
Customer responsibilities
- Provide timely access to the systems to be connected, through the Customer's own Snowflake account.
- Name an administrator and a business sponsor for the implementation.
- Tell the Supplier promptly of any change to a connected system, since a changed source can stop loading.
Supplier responsibilities
- Deliver the implementation against the plan agreed with the Customer's operations and security teams.
- Support the Customer's security, procurement and regulatory reviews, and tell the Customer's security team of any incident that affects the service.
- Run quarterly business reviews with the Customer's sponsor.
General
This Order Form, together with the Master Services Agreement, is the entire agreement between the parties for the services described. It may be varied only in writing signed by both parties.
