Ardcarne Life Assurance - Master Services Agreement (signed)

Parties
This Master Services Agreement is made between:
- BB-Demo, a London data business (the "Supplier"); and
- Ardcarne Life Assurance, an Irish life and pensions insurer headquartered in Dublin (the "Customer").
The Supplier's account owner for this agreement is Matteo Ricci, Account Executive. The Customer's customer success manager at the Supplier is Elena Novak.
Background
The Customer wishes to give its broker distribution and customer service teams one view of each broker firm. The Supplier will build and run the company brain inside the Customer's own Snowflake account. The Customer is supervised by the Central Bank of Ireland and is subject to DORA, and both parties have agreed the terms below with that in mind.

The total contract value is the sum of the first-year subscription and the one-off implementation fee. Only the subscription line recurs.
Term
- The agreement starts on 1 Oct 2026.
- The initial term ends on 30 Sep 2027.
- Renewal is by agreement of both parties. The Supplier's customer success manager will contact the Customer ahead of the end of the term to open the renewal conversation.
Fees and payment
- The subscription is billed annually, in advance.
- The implementation fee is a fixed fee and is invoiced once.
- Invoices are payable within 30 days of the invoice date.
- All amounts are in pounds sterling.
- No discount applies to either line.
Implementation
The implementation runs for twelve weeks from the start date and includes support for the Customer's security review. It covers up to twelve connectors to the Customer's source systems. Any further connectors would be added by a written change to this order form.
The Supplier will not commit to any go-live date that its engineering team has not agreed. Dates for individual connectors will be confirmed in writing in the implementation plan.

The Enterprise service levels apply from the start date.

Credit basis
Under the Enterprise tier, service credits are earned for availability and for data freshness. A brain that is available but answering on stale data is therefore a creditable breach. Credits are a remedy for the month concerned and do not change the annual recurring charge.
Data and security
- The company brain runs inside the Customer's own Snowflake account. The Customer's data stays in its environment.
- The Supplier will support the Customer's security review during the implementation period.
- The Supplier will tell the Customer's security team promptly of any incident that affects the service, and will give the Customer the information it reasonably needs to meet its own regulatory obligations, including those under DORA.
- Access to the brain is controlled by the Customer, using the Enterprise single sign-on and provisioning features.
Support and account management
- The Supplier's Account Executive owns commercial terms under this agreement.
- The Supplier's customer success manager owns adoption, quarterly business reviews and the renewal conversation.
- An executive sponsor is assigned to the Customer as part of the Enterprise tier.
General
- This agreement and its order form are the whole agreement on this subject and replace any earlier proposal or draft.
- A change to the lines, term, service levels or fees is valid only if made in writing and signed by both parties.
- Neither party may assign this agreement without the written consent of the other.
