Background

Term

The Supplier acknowledges that, under the Enterprise tier, service credits apply to data freshness as well as to availability. A brain that answers on stale data is available, but it is not fresh, and the freshness commitment above applies in that case.
Implementation
A. The implementation runs for twelve weeks from the start date and includes security review support.
B. Up to twelve connectors are in scope. Any connector the parties name in the order form carries a commitment to go live within an agreed number of days, which both parties will confirm in writing before signature.
C. The Supplier will not commit to any go-live date that its engineering team has not agreed.
Data protection and regulatory cooperation
A. The company brain is built and run inside the Customer's own Snowflake account, so the Customer's data stays within the Customer's environment.
B. The Supplier will cooperate reasonably with the Customer's obligations under DORA and with requests from the Central Bank of Ireland that relate to the services.
C. The Supplier will tell the Customer's security team promptly and in writing about any incident that affects the services.
Confidentiality
Each party will keep the other's confidential information confidential, use it only for the purposes of this Agreement, and return or delete it on request when the Agreement ends, subject to any legal retention duty.
Liability
The liability provisions in the Supplier's standard Master Services Agreement apply, subject to any changes the parties agree in writing during review.
