Fenmoor has used the BB-Demo company brain since 1 Jul 2024. The brain sits over Fenmoor's submissions, bordereaux queries, claims tickets and CRM activity, and runs inside Fenmoor's own Snowflake account. The current term ends on 30 Jun 2026. This draft restates the master terms ahead of that date so that Fenmoor's standard supplier position can be reflected in one clean document.
1. Definitions and interpretation
1.1 "Services" means the BB-Demo subscription for the Growth tier, together with the support and customer success activity described in the order form.
1.2 "Order Form" means the document signed by both parties that sets out the tier, licensed users, connectors, fees and term.
1.3 "Customer Data" means all data held in Fenmoor's Snowflake account and the systems connected to the brain.
1.4 If this agreement and an Order Form conflict, the executed Order Form prevails on price, term and service levels.
2. Services and licence
2.1 BB-Demo will provide the Services to Fenmoor for the term of the Order Form.
2.2 The Growth tier includes forty licensed users and the connector allowance set out in the Order Form.
2.3 Use above the licensed user number is handled by agreement on additional users, not by automatic charge.
3. Term and renewal
3.1 The initial term began on 1 Jul 2024 and runs to 30 Jun 2026.
3.2 BB-Demo's customer success manager will give notice of renewal in good time before the end of the term and will discuss renewal terms with Fenmoor.
3.3 Open point: Fenmoor has asked that renewal be on the basis of a fresh Order Form rather than automatic continuation. BB-Demo to confirm.
4. Fees and payment
4.1 The contracted annual subscription for the Growth tier is set out in the Order Form and is invoiced annually in advance.
4.2 Invoices are payable within thirty days of the invoice date.
4.3 Any discount applies to the first term only, as recorded in the Order Form.
4.4 Open point: Fenmoor's standard position is that list price is agreed only in exchange for a defined commercial benefit. Procurement to propose wording.
5. Service levels
5.1 BB-Demo will meet the standard service levels for the Growth tier for availability, priority response and nightly data refresh.
5.2 Service credits apply for availability breaches as set out in the Order Form.
5.3 An executed Order Form may vary any service level, and that variation takes precedence over this clause.
6. Data protection and security
6.1 Customer Data remains in Fenmoor's Snowflake account and is not copied to BB-Demo's own environment except as needed for support, with Fenmoor's consent.
6.2 Each party will comply with applicable data protection law.
6.3 BB-Demo will notify Fenmoor without undue delay of any confirmed personal data breach affecting Customer Data.
6.4 Open point: Fenmoor wishes to align the audit and oversight wording with the questions its capacity providers ask. Procurement to send a redline.
7. Confidentiality
7.1 Each party will keep the other's confidential information secure and use it only for the purposes of this agreement.
7.2 This obligation survives termination.
8. Liability
8.1 Neither party excludes liability that cannot be excluded by law.
8.2 Otherwise, each party's liability is limited as set out in the Order Form.
8.3 Open point: liability wording to be reviewed against Fenmoor's standard position.
9. Termination
9.1 Either party may terminate for material breach that is not remedied within a reasonable period after written notice.
9.2 On termination BB-Demo will return or delete Customer Data as Fenmoor directs.
10. General
10.1 This agreement is governed by the law of England and Wales.
10.2 Changes must be in writing and signed by both parties.
